Terms Of Service

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you") and GAWOONI MetaLabs (“we", “us", or “our") concerning your access to and use of our websites and our games as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto.

WE ARE ONLY WILLING TO MAKE OUR GAMES THE SMART CONTRACTS, AND THE WEBSITES AVAILABLE TO YOU IF YOU ACCEPT ALL OF THESE TERMS. BY USING OUR GAMES, THE SMART CONTRACTS, THE WEBSITES, OR ANY PART OF THEM, OR BY CLICKING “I ACCEPT” OR INDICATING YOUR ACCEPTANCE IN AN ADJOINING BOX, YOU ARE CONFIRMING THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY ALL OF THESE TERMS OF USE. IF YOU DO NOT AGREE AND/OR ACCEPT ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING OUR GAMES, THE WEBSITES, THE SMART CONTRACTS AND YOU MUST DISCONTINUE USE IMMEDIATELY.

You must be at least 18 years old or older to gain access to our website and especially our game services. Our websites and our games are not intended for those who are under 18 years old. Our websites, our games, as well as its contents and services, are directed solely to individuals who are at least 18 years old.

Our games are play to earn games where players and participants own parts of the game. Players can earn by playing the game or by simply owning parts of the game. All ownable parts of the game are in the form of verifiably owned NFTs. The currency in the games are game tokens, used for all in game activities.

We reserve the right to update, change or replace any part of these terms, without notice, by posting updates and/or changes to our website and our games. It is your responsibility to check this page periodically for any such changes. Your continued use of our services following the posting of any changes constitutes acceptance of those changes.

Account Creation

To use our services, you will need to connect your blockchain wallet address to our services in order to allow you to purchase, store, or otherwise engage in transactions using our games, our smart contracts, our game tokens and our NFTs. This requires you to connect a third-party account such as MetaMask to our services. Your Blockchain Wallet Address will be publicly visible whenever you interact with our services.

You must be at least 18 years or older and capable of entering into legally binding agreements in order to use our services. You may not create more than one account. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information, including a valid email address.

You have complete responsibility for your account and everything that happens on your account, including for any costs, fees, or damages incurred by you or someone using your account with or without your permission. If you become aware of unauthorized third-party access to your account, you should notify us immediately.

Access to our services

GAWOONI MetaLabs grants to you a non-exclusive, non-transferable, revocable limited license to use our services. GAWOONI MetaLabs has the right to terminate your access to our services at any time for any reason or for no reason. Your use of our services is conditioned upon your compliance with these terms; any use of our services in violation of this terms will be regarded as an infringement of GAWOONI MetaLabs copyrights and our services.

Any new features or services which are added, at our sole discretion, shall also be subject to these terms. GAWOONI MetaLabs may change, modify, suspend, or discontinue any aspect of its services at any time and such change, modification, suspension, or discontinuation can be for any reason.

As a condition of your use of and access to our services, you shall not:

  • copy or adapt our services software including but not limited to Flash, PHP, HTML, Java, CSS, JavaScript or other code

  • reverse engineer, decompile, reverse assemble, modify or attempt to discover any software (source code or object code related to our services

  • interfere with or circumvent any security feature of our services or any feature that restricts or enforces limitations on use of or access to our services

  • sell our services or any part thereof (excluding ownable game assets) including but not limited to user accounts and access to them in exchange for anything of value

  • violate any applicable law

  • allow another person or entity to use your identity to access our services

Transactions and game tokens

All fees and payments made through our services are conducted in our game tokens using smart contracts. We are unable to reverse control these transactions and explicitly disclaim all liability that may arise to you or a third-party as a result of transactions engaged in through our services.

A transaction fee is required for each transaction. Additionally, each time you transact using one of our smart contracts, we are authorized to collect a commission. The commission is transferred directly to us through the blockchain network. You are solely responsible for all sales and use taxes applicable to the transactions you conduct through our services.

Third Party Links

Through your use of our services, you may be required to access third-party services and you may be provided with hyperlinks or opt-in selections to other Internet sites or resources, including hyperlinks provided by third-party advertisers and sponsors to our services. We make no representation or warranty as to those services, sites and resources, or the advertising material presented by third-party advertisers and sponsors through our services. You agree that GAWOONI MetaLabs will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such information, goods or services available on or through any such site or resource.

Intellectual Property

The information available through our services, as well as all elements of our services, is the intellectual property of GAWOONI MetaLabs and is protected by copyright, trademark, and other intellectual property laws. This includes all visual interfaces, graphics, methods, code, software, and all other elements of our services. All game content is the copyrighted property of GAWOONI MetaLabs or its licensors. Your use of our services does not grant you ownership or any other rights not explicitly granted in these terms. Specifically, this means that your rights in any of our game assets held by you does not give you any rights or licenses in or to the game content (including, without limitation, our copyright in and to the graphics associated with our games) other than those expressly contained in these terms. Except as otherwise set forth in these terms, you do not have the right to reproduce, distribute, or otherwise commercialize any elements of our games content (including, without limitation, our copyright in and to the graphics associated with our game assets) in any way without our prior written consent. We expressly reserve the right to modify, alter, change or replace any graphics connected to or related to any and all of our game assets at any time without prior notice to you.

License

Subject to the limitations above and continued compliance with these terms, users who have purchased a game asset shall receive a worldwide, non-exclusive, non-transferable, royalty-free, license to use, copy, and display the game asset for non-commercial purposes. This includes the right to, as part of an approved marketplace that permits the purchase and sale of game assets, display or list the game asset provided that the marketplace verifies each owner’s rights through the blockchain to ensure that only the actual owner can display the game asset. All other uses of the game assets shall require the express written consent of GAWOONI MetaLabs.

Account Termination

You may terminate this agreement at any time by cancelling your account and discontinuing your access to and use of our services. You shall not be entitled to and will not receive any refunds if you cancel your account, or otherwise terminate this agreement. You agree that we, in our sole discretion and for any or no reason, may terminate this agreement and/or suspend and/or terminate your access to our services. You agree that any suspension or termination of your access to our services may be without prior notice, and that we will not be liable to you or to any third party for any such suspension or termination. If we terminate this agreement or suspend or terminate your access to or use of our services due to your breach of these terms or any suspected fraudulent, abusive, or illegal activity, then termination of this agreement will be in addition to any other remedies we may have at law or in equity. Upon any termination or expiration of this agreement, whether by you or us, you may no longer have access to information that you have posted on or through our services or that is related to your use of our services, and you acknowledge that we will have no obligation to maintain any such information in our databases or to forward any such information to you or to any third party. All the above terms will survive the termination or expiration of this agreement for any reason.

Assumption of risks

You accept and acknowledge each of the following:

  • The prices of blockchain assets are extremely volatile. Fluctuations in the price of other digital assets could materially and adversely affect the value of your, which may also be subject to significant price volatility. We cannot guarantee that any purchasers of our game assets will not lose money.

  • You are solely responsible for determining what, if any, taxes apply to your game-related transactions. GAWOONI MetaLabs is not responsible for determining the taxes that apply to your transactions in the game, the site, or the smart contracts.

  • There are risks associated with using an Internet-based currency, including, but not limited to, the risk of hardware, software and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your wallet. You accept and acknowledge that GAWOONI MetaLabs will not be responsible for any communication failures, disruptions, errors, distortions or delays you may experience when using the blockchains we are using for our games, however caused.

  • A lack of use or public interest in the creation and development of distributed ecosystems could negatively impact the development of our game ecosystems, and therefore the potential utility or value of our digital game items.

  • The regulatory regime governing blockchain technologies, cryptocurrencies, and tokens is uncertain, and new regulations or policies may materially adversely affect the development of our game ecosystems, and therefore the potential utility or value of our digital game items.

Disclaimers, Limitations, Waivers of Liability

You expressly agree that use of our services is at your own risk without warranties of any kind.

GAWOONI MetaLabs will not be liable for any direct or indirect damages, lost or anticipated profits, lost data or any other kind of damages resulting from the use of our services.

Compliance with laws

You are solely responsible for your compliance with all applicable laws, including but not limited to your jurisdiction’s gaming laws. Various rules, regulations, and laws addressing sweepstakes, contests and gaming laws govern your participation in our services. Access to our services may not be legal for some or all residents of, or persons present in, certain jurisdictions. Our services are void where prohibited or restricted by applicable law. Your use of our services is at your own risk, and you agree to not to hold us responsible or liable if applicable laws restrict or prohibit your access to our services. You are not permitted to use our services if you are located in any state in which our game violates the gaming Laws. It is your responsibility to determine whether the state, country, territory or jurisdiction in which you are located has gaming laws prohibiting the use of our services. We reserve the right (but have no obligation) to monitor the location from which you access our services, and we may block access from any jurisdiction which we believe the use of our services is prohibited by its gaming laws.

You agree at all times to indemnify, defend and hold harmless GAWOONI MetaLabs from any claim, causes of action, damages, liabilities, demands, costs and expenses, including reasonable attorneys’ fees, made by any third-party due to or arising out of your use or misuse of our services.

In the event that any provision of this agreement is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from this Agreement, such determination shall not affect the validity and enforceability of any other remaining provisions.
